Agriwizz – Beta Version

Welcome to Agriwizz (“Platform”, “Service”, “we”, “us”, “our”). Agriwizz is an online platform designed to showcase agricultural solutions and innovations by connecting solution suppliers (“Suppliers”) and farmers or agricultural professionals (“Farmers”). These Terms and Conditions (“Terms”) govern your access to and use of the Platform. By accessing or using Agriwizz, you agree to be bound by these Terms.
Agriwizz is currently operated by its owners as individuals, acting on behalf of Agriwizz, a company currently in formation. Until the company is formally incorporated, the owners are the legal operators and contracting party under these Terms.
The Platform is currently provided as a beta version. You acknowledge and agree that: the Platform may contain errors or inaccuracies, and uninterrupted availability is not guaranteed. The Service is provided on an “as is” and “as available” basis during the beta phase.
To use the Platform, you must: be at least 18 years old, and provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.
Agriwizz: a) does not sell products or services; b) does not act as a reseller, broker, or agent; c) does not participate in transactions between Suppliers and Farmers. All interactions, communications, and any potential future agreements occur directly between users.
Agriwizz is designed to showcase Suppliers’ agricultural solutions, provide informational content to Farmers, and facilitate connections between Suppliers and Farmers.
Product information is sourced from Suppliers’ publicly available materials, with their consent, and presented using Agriwizz formats without substantive modification. Agriwizz is not responsible for the accuracy or completeness of Supplier-provided information.
The Platform enables direct communication between users. Agriwizz acts solely as a technical intermediary and not as an agent of any party and assumes no responsibility for communications or interactions between users.
Agriwizz offers interactive features such as product reviews and forums. User-generated content reflects the views of its authors only, and users rely on it at their own discretion and risk. Agriwizz takes actions to protect the Suppliers and Farmers reputation by moderating the Forum and detecting inorganic actions that can make a significant change in the Review score of a Product.
The Platform may include optional email communications, from which users may unsubscribe at any time.
Agriwizz supports two main user categories: a) Suppliers are entities (manufacturers, sellers or service providers) that provide agricultural products, services, or solutions showcased on the Platform; b) Farmers are individuals or entities that browse, explore, and evaluate solutions presented on the Platform.
Visitors of the platform are unsubscribed users that access limited information.
Users must subscribe via the registration form to access features available to their respective profiles.
Users agree to provide accurate, current, and complete information during registration and are responsible for all activities conducted through their accounts. Personal data is processed in accordance with the Platform’s Privacy Policy.
Users must comply with applicable laws, these Terms, and the rights of others. Agriwizz may suspend or terminate accounts or restrict access at any time for violations, without prior notice and without liability for resulting loss or damage.
During the beta phase the access to the Platform is free of charge for both Suppliers and Farmers. This is an offer for limited number of users.
Agriwizz reserves the right to: 1) introduce paid plans, subscriptions, or premium features in the future; 2) modify pricing models with prior notice to users.
Subscribers participating in the beta version are under no obligation to continue using the Platform or to subscribe to any paid services once paid plans are introduced. Any decision to transition to a paid offering shall be entirely voluntary.
No payment obligations exist during the beta phase.
Supplier subscription applies only to the products listed on the Supplier’s website at the time of subscription, considering the products are in active production.
Subscriptions start on the first day the products are officially listed and end on the last day of the subscription period (in beta-version case it is 1 year free of charge). Suppliers will be asked to approve their products listings before them being officially listed (online). Subscriptions cannot be paused, changed, or canceled during the active period, except in case of disagreement with changes to these Terms.
Suppliers will be notified by email before subscription expiration. To continue, a paid plan must be chosen; otherwise, products will be removed from active listings.
For individually listed products, first-time listings require a request from the manufacturer. Product visibility depends on an active manufacturer subscription. Seller subscriptions grant placement only while the product remains active. In the event of manufacturer cancellation, seller subscriptions will be paused or credited.
For products or services offered by multiple suppliers, first-time listings require a request from the producer or service provider. Product or service visibility depends on at least one active producer or service provider subscription.
By registering as a Supplier, you expressly acknowledge and agree that: 1) you authorize Agriwizz to: extract, collect, and process information related to your solutions; 2) use data from your publicly available websites, social media channels, and marketing materials.
Extracted data may include (but is not limited to): product descriptions, images, videos, specifications, use cases, branding elements.
Your solutions may be: displayed using standardized Agriwizz templates, reformatted for presentation purposes, summarized or categorized.
Agriwizz commits to presenting information accurately and in good faith, but does not guarantee that extracted data will always be complete or error-free. Suppliers remain fully responsible for: the accuracy of their solution information, ensuring they own or have rights to the content used.
All intellectual property rights in: 1) Supplier solution content remain with the Supplier; 2) Platform design, structure, templates, and branding remain with Agriwizz.
Suppliers grant Agriwizz a non-exclusive, royalty-free license to use their content solely for the purpose of operating and promoting the Platform.
Agriwizz does not endorse, recommend, or guarantee any Supplier, brand, or solution displayed on the Platform, nor does it guarantee outcomes, performance, or suitability of any solution. Agriwizz is not preferentially linked to, affiliated with, sponsored by, or acting as an affiliate marketer for any brand showcased on the Platform.
All information is provided for informational purposes only, and Farmers and other users rely on such information and make decisions at their own discretion and risk.
The Platform and Service are provided on an “as is” and “as available” basis.
To the maximum extent permitted by applicable law, Agriwizz disclaims all warranties, whether express or implied, including but not limited to warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Agriwizz does not guarantee that: 1) the Service will be continuously available or free from errors; 2) any data or content will be accurate, complete, current, reviewed, or preserved without loss.
You acknowledge that use of the Service involves transmission of data over networks not owned or controlled by Agriwizz, and Agriwizz is not responsible for delays, interruptions, data loss, or other issues arising from systems outside its reasonable control.
Product and solution information displayed on the Platform is sourced from Suppliers’ publicly available materials and presented using Agriwizz templates. Agriwizz makes no warranty regarding the accuracy, completeness, or currency of such information and does not endorse any Supplier or solution.
To the fullest extent permitted by law, Agriwizz shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, loss of profits, loss of business, loss of goodwill, service interruptions, property damage, or third-party claims arising out of or in connection with the use of the Platform.
We may suspend or terminate access to the Platform at any time: 1) for violation of these Terms; 2) for misuse of the Platform; 3) or at our sole discretion during the beta phase;
Users may stop using the Platform at any time in case of disagreement with changes to these Terms.
Upon formal incorporation of the Agriwizz company, all rights and obligations under these Terms may be assigned to the newly formed legal entity without requiring further user consent.
We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms. In case a User does not agree with the new Terms & Conditions, he may terminate his subscription at any time.
Until the formal incorporation of the Agriwizz company, these Terms are not assigned to a specific governing law or jurisdiction. Following official registration, the applicable governing law and jurisdiction will be clearly identified and published in an updated version of these Terms.
Continued use of the Platform after such update constitutes acceptance of the applicable governing law and jurisdiction.
The rights and remedies provided in the Terms & Conditions are cumulative and not exclusive of any rights or remedies provided by law.
The Parties shall first seek to resolve any dispute arising out of or in connection with these Terms through good-faith negotiations and, where mutually agreed, through mediation, before initiating court proceedings.
